These Terms of Use ("Terms") govern access to this website and the contracting of services provided by Alquimia SEO, registered under CNPJ No. 60.946.074/0001-47 ("Alquimia SEO" or "Contractor"). By accessing the site, submitting forms or contracting any service, the user ("User" or "Client") declares having read, understood and fully accepted these conditions and the Privacy Policy.
1. Definitions
Website: the institutional portal at alquimiaseo.com and subdomains.
Services: security analysis (scan), forensics, malware removal, hardening, continuous monitoring, vulnerability remediation, consulting and other offerings described in a specific commercial proposal.
Analyzed Environment: website, system, application, server, API, repository or any digital asset designated by the Client as the scope of the Services.
Report: technical document produced by Alquimia SEO describing findings, vulnerabilities, evidence and recommendations.
2. Acceptance and capacity
Browsing the site, submitting forms and contracting Services imply full acceptance of these Terms and of the Privacy Policy.
The User declares to have full civil capacity, to be of legal age, and — when acting on behalf of a legal entity — to have sufficient powers to bind it.
3. Purpose
The Site is maintained for institutional and commercial purposes, presenting information about Alquimia SEO and its Services and offering channels for contact, quoting and contracting.
The Services actually contracted, including scope, prices, deadlines and specific conditions, will be formalized in a specific commercial proposal or contract, which prevails in case of conflict with these Terms.
4. Authorization for security analysis
Critical clause. By requesting a security analysis of any Analyzed Environment, the Client declares, under the penalties of law, to be the rightful owner of the relevant environment or to hold prior, express and written authorization from the legitimate owner for Alquimia SEO to perform technical tests, vulnerability scans, controlled exploitation of flaws and any other activities required.
The Client fully releases Alquimia SEO from any liability — civil, criminal or administrative — arising from the provision of Services on environments for which the Client did not hold legitimate authorization, and undertakes to indemnify Alquimia SEO against any claims, fines, indemnities, costs and legal fees.
Alquimia SEO may, at its discretion, require evidence of ownership or authorization before starting the Services.
5. Nature and limits of the Services
Information security Services are an obligation of means, not of result regarding the absolute and perpetual absence of future incidents.
No cybersecurity service can provide an unconditional guarantee of invulnerability. Deliveries are based on industry best practices, recognized tools and the diligence expected from a specialized professional.
The scope described at the time of contracting is exhaustive. Activities outside it require a formal amendment.
6. Client responsibilities
Provide truthful, complete and up-to-date information about the Analyzed Environment.
Take a full backup of the Analyzed Environment before the Services begin. Alquimia SEO follows safe procedures but is not responsible for data loss arising from missing or failed backups kept by the Client.
Grant access, credentials and permissions required for the Services in a timely manner.
Immediately report any incident, relevant change to the Analyzed Environment or suspected compromise of provided credentials.
Implement the recommendations contained in the Report within the deadlines indicated therein. Failure to do so releases Alquimia SEO from liability for subsequent related incidents.
7. Confidentiality
The Parties mutually undertake to keep confidential all technical, commercial and strategic information accessed during the contractual relationship, including for 5 (five) years after its termination.
Sensitive information incidentally identified by Alquimia SEO during the Services (e.g., pre-existing leaks, exposed credentials, third-party personal data) will be handled with reinforced confidentiality and securely disposed of after completion of the work, except where retention is required by law.
8. Intellectual property
Trademark, business name, visual identity, texts, layouts, graphics, images, source code and other elements of the Site are protected by intellectual property rights belonging to Alquimia SEO or its licensors. Any reproduction, distribution or use without prior, express authorization is forbidden.
Technical reports, proprietary methodologies, internal scripts, dashboards and tools developed by Alquimia SEO remain its exclusive property. The Client is granted a non-exclusive, non-transferable license for internal use of the Report and its content for remediation and audit purposes.
9. Price, payment and default
Prices, conditions and payment terms will be defined in a specific commercial proposal.
In case of late payment, a 2% fine on the amount due, default interest of 1% per month and monetary correction by the IPCA index (or its official replacement) will apply. Default exceeding 15 days authorizes immediate suspension of the Services, without prejudice to other applicable measures.
10. Term and termination
Terms of duration will follow what is set in the specific proposal or contract.
Either Party may terminate the relationship upon prior written notice of 30 days. Termination for contractual breach does not require prior notice and triggers the penalties set forth in the contract.
11. Limitation of liability
Alquimia SEO's total aggregate liability, for any cause related to the Services, is limited to the amount actually paid by the Client in the 12 months preceding the event giving rise to the claim.
Under no circumstance will Alquimia SEO be liable for lost profits, loss of opportunity, indirect, incidental, special or punitive damages.
This limitation does not apply to cases of duly proven willful misconduct or gross negligence.
12. Force majeure
Neither Party will be liable for non-performance caused by force majeure or fortuitous events under art. 393 of the Brazilian Civil Code, including, by way of example, massive externally originated cyber attacks, prolonged unavailability of essential infrastructure providers, governmental decisions and natural disasters.
13. External links
The Site may include links to third-party services (such as WhatsApp and social networks). Alquimia SEO does not control or take responsibility for the content, availability or policies of those services.
14. Communications and assignment
All official communication between the Parties will be considered valid when made in writing through the emails indicated in these Terms (the official channel for contractual, legal and privacy matters being relationship@alquimiaseo.com).
Assignment of rights and obligations under these Terms is forbidden without prior written consent of the other Party.
15. Governing law and jurisdiction
These Terms are governed by Brazilian law, in particular the LGPD, the Brazilian Internet Bill of Rights and the Brazilian Civil Code.
The courts of Caxias do Sul/RS, Brazil, are elected as competent to settle any disputes arising from these Terms, with express waiver of any other, however privileged.
16. Changes
These Terms may be updated at any time. The version in force is the one published on this page, identified by the last-updated date. Continued use of the Site after publication of an updated version implies acceptance of the new conditions.
